Welcome to Naviask AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Naviask AI ("Company," "we," "us," or "our") governing your access to and use of the Naviask AI platform, website, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

These Terms apply to all users of the Service, including small and medium-sized businesses, entrepreneurs, solopreneurs, and individual business owners.

2. Description of Services

Naviask AI provides an AI-powered business consultation platform that helps businesses discover and select appropriate artificial intelligence tools for their operations. Our Service includes:

2.1 Interactive Consultation

A conversational AI-guided consultation process that gathers information about your business needs, challenges, and objectives.

2.2 Tool Matching and Recommendations

Analysis of your business requirements against our curated database of AI tools, resulting in personalized tool recommendations.

2.3 Strategic Reports

Upon completion of a consultation, users have the option to purchase a comprehensive strategic report that includes:

  • Matched AI tool recommendations
  • ROI projections and analysis
  • Implementation roadmaps
  • Business impact assessments

2.4 One-Time Transaction Model

Our Service operates on a pay-per-report basis. There are no recurring subscriptions, and each consultation is a standalone transaction.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. AI-Generated Content Disclaimer

IMPORTANT: Please read this section carefully.

3.1 Nature of AI-Generated Content

All recommendations, analyses, reports, and content provided through the Service are generated using artificial intelligence technologies, including large language models and machine learning algorithms.

3.2 No Guarantee of Accuracy

While we strive to provide high-quality recommendations, AI-generated content may contain errors, omissions, inaccuracies, outdated information, or incorrect statements. We make no warranty or guarantee as to the accuracy, completeness, reliability, or currentness of any Output generated by our Service.

3.3 User Responsibility for Verification

You are solely responsible for independently verifying the accuracy and suitability of any recommendations, data, or information provided by the Service before making business decisions or taking action based on such content.

3.4 Non-Exclusive Recommendations

Due to the nature of machine learning and AI algorithms, similar or identical recommendations may be provided to multiple users with comparable business profiles. The Service does not guarantee unique or exclusive recommendations.

3.5 Limitations of AI Technology

You acknowledge that AI technology has inherent limitations, including:

  • Potential for algorithmic bias
  • Inability to account for all nuanced business factors
  • Dependence on the quality of training data
  • Lack of human judgment and contextual understanding
  • Potential hallucinations or fabricated information

3.6 No Liability for AI Errors

We disclaim all liability for any errors, omissions, or consequences arising from your reliance on AI-generated content. You use all AI-generated recommendations and reports at your own risk.

4. Professional Advice Disclaimer

4.1 Not Professional Services

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. Naviask AI does not provide, and the Service should not be construed as providing:

  • Legal advice or legal services
  • Financial advice or financial planning services
  • Accounting or tax advice
  • Investment advice or recommendations
  • Management consulting services
  • Technical implementation services

4.2 No Professional Relationship

Use of the Service does not create any attorney-client, accountant-client, financial advisor-client, or other professional relationship between you and Naviask AI or any of our personnel.

4.3 Consult Qualified Professionals

Before making any significant business decisions, implementing AI tools, making investments, or taking actions based on recommendations from the Service, you should consult with qualified professionals including attorneys, accountants, financial advisors, and business consultants who are familiar with your specific circumstances.

4.4 No Guarantee of Results

We make no guarantees, warranties, or representations regarding:

  • Business outcomes or results
  • Return on investment (ROI)
  • Revenue increases or cost savings
  • Successful implementation of recommended tools
  • Achievement of business objectives

Each business situation is unique, and actual results will vary based on numerous factors beyond our control.

5. User Accounts and Registration

5.1 Account Creation

To use certain features of the Service, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access to your account

5.2 Account Responsibility

You are responsible for all activities that occur under your account, whether or not authorized by you. We are not liable for any loss or damage arising from unauthorized use of your account.

5.3 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

5.4 Business Use

If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

6. Payment Terms

6.1 One-Time Payment Model

The Service operates on a pay-per-report basis. After completing a consultation, you will have the option to purchase a strategic report for a one-time fee.

6.2 Pricing

Current pricing for reports is displayed on our website and within the Service. We reserve the right to change our pricing at any time, but any changes will not affect consultations already in progress.

6.3 Payment Processing

Payments are processed through secure third-party payment processors. By providing payment information, you authorize us to charge the applicable fees to your payment method.

6.4 Taxes

Prices do not include applicable taxes, duties, or other governmental charges. You are responsible for paying all taxes associated with your purchase.

6.5 Payment Information Accuracy

You represent and warrant that you have the legal right to use any payment method provided and that all payment information is accurate and complete.

6.6 No Recurring Charges

Unless you make a new purchase, there are no recurring subscription fees or automatic renewals. Each consultation and report purchase is a separate, standalone transaction.

7. Refund Policy

7.1 Satisfaction Guarantee

We stand behind the quality of our Service. If you are not satisfied with your strategic report for any reason, we offer a no-questions-asked refund policy.

7.2 Refund Request Process

To request a refund:

  1. Contact us at help@naviask.ai within 30 days of purchase
  2. Provide your order/transaction number
  3. State that you are requesting a refund

7.3 Refund Processing

Refunds will be processed within 5-10 business days to the original payment method. Depending on your financial institution, it may take additional time for the refund to appear in your account.

7.4 Report Access After Refund

Upon issuing a refund, your access to the purchased report will be revoked, and you must cease all use of the report content.

7.5 Good Faith Use

While we do not ask questions for refund requests, we reserve the right to refuse service to users who abuse this policy through repeated refund requests or fraudulent behavior.

8. Data Privacy and Security

8.1 Privacy Commitment

We are committed to protecting your privacy and handling your data responsibly. Our data practices are designed with privacy-first principles.

8.2 Minimal Data Retention

We do not retain consultation data after the consultation session ends. Once a consultation is complete and any purchased report has been delivered, all business information, conversation data, and analysis materials are permanently deleted from our systems, except as required by law or for essential business records (such as transaction records for accounting purposes).

8.3 Data Collection

During your use of the Service, we may collect:

  • Account information (name, email address, business name)
  • Payment information (processed by third-party processors; we do not store complete payment card details)
  • Consultation input data (business information, needs, challenges you share during the consultation)
  • Usage information (how you interact with the Service)
  • Technical information (IP address, browser type, device information)

8.4 Data Usage

We use your data to:

  • Provide and operate the Service
  • Process your consultation and generate recommendations
  • Process payments and deliver purchased reports
  • Communicate with you about the Service
  • Improve and develop the Service
  • Comply with legal obligations

8.5 Data Sharing

We do not sell, rent, or trade your personal information. We may share your data with:

  • Third-party AI service providers (see Section 9)
  • Payment processors
  • Service providers who assist in operating our platform
  • Law enforcement or regulatory authorities when required by law

All third-party service providers are bound by confidentiality obligations and are only authorized to use your data to provide services to us.

8.6 Your Privacy Rights

Depending on your location, you may have rights regarding your personal data, including:

  • Right to delete your data
  • Right to restrict processing
  • Right to data portability

8.7 California Privacy Rights (CCPA/CPRA)

If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), including:

  • Right to know what personal information we collect and how it's used
  • Right to delete personal information
  • Right to opt-out of the sale or sharing of personal information (Note: We do not sell personal information)
  • Right to correct inaccurate personal information
  • Right to limit use of sensitive personal information
  • Right to non-discrimination for exercising your privacy rights

8.8 Security Measures

We implement reasonable administrative, technical, and physical security measures to protect your data from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

8.9 Data Breach Notification

In the event of a data breach that affects your personal information, we will notify you and any applicable regulatory authorities in accordance with applicable law.

8.10 International Users

While our Service is primarily intended for users in the United States, if you access the Service from outside the U.S., you consent to the transfer and processing of your data in the United States, which may have different data protection laws than your jurisdiction.

8.11 Children's Privacy

The Service is not intended for use by individuals under 18 years of age. We do not knowingly collect personal information from children. If we learn that we have collected information from a child under 18, we will delete it promptly.

9. Third-Party Services and AI Processing

9.1 Third-Party AI Models

Our Service utilizes artificial intelligence technologies provided by third-party service providers, including but not limited to:

  • OpenAI (GPT-4 and related models)
  • Anthropic (Claude and related models)

9.2 Data Sharing for AI Processing

By using the Service, you acknowledge and consent to the fact that information you provide during consultations (your "Input") will be transmitted to and processed by these third-party AI service providers to generate recommendations and reports (the "Output").

9.3 Third-Party Terms

Your Input may be subject to the terms of service and privacy policies of these third-party AI providers. While we select providers with strong privacy and security practices, we do not control their data handling practices.

9.4 No Training on Your Data

We have configured our third-party AI services to prevent your consultation data from being used to train or improve the AI models. Your business information will not be retained by these AI providers beyond the immediate processing required to generate your recommendations.

9.5 Third-Party Links

The Service may contain links to third-party websites, tools, or services that are not owned or controlled by Naviask AI. We are not responsible for the content, privacy policies, or practices of any third-party sites or services.

9.6 Tool Providers

The AI tools recommended in our reports are developed and operated by independent third-party companies. We have no affiliation, partnership, or business relationship with these tool providers and receive no commissions or compensation for recommending their products.

10. Tool Database Disclaimer

10.1 Curated But Not Exhaustive

Our database includes information about a curated selection of AI tools. This database is not exhaustive and does not represent all available AI solutions in the market.

10.2 Information Accuracy

While we strive to maintain accurate, current, and comprehensive information about AI tools in our database, we cannot guarantee that all information is up-to-date, error-free, or complete. Tool features, pricing, availability, and specifications may change without notice.

10.3 Independent Research Required

You are responsible for conducting your own independent research and due diligence on any AI tools recommended by the Service before making purchase decisions or implementation commitments.

10.4 No Endorsement or Warranty

Inclusion of a tool in our database or its recommendation in your report does not constitute an endorsement, warranty, or guarantee regarding:

  • The tool's functionality, quality, or suitability for your needs
  • The tool provider's business practices, reliability, or stability
  • The tool's security, privacy, or compliance features
  • The tool's compatibility with your existing systems
  • The tool provider's customer service or support quality

10.5 No Affiliation or Compensation

We maintain independence in our recommendations. We do not receive commissions, affiliate payments, referral fees, or any other compensation from AI tool providers for recommending their products. Our recommendations are based solely on algorithmic matching of your business needs with tool capabilities.

10.6 Tool Provider Responsibility

You acknowledge that relationships with AI tool providers, including purchases, implementations, and support agreements, are solely between you and those providers. We are not party to and bear no responsibility for such relationships.

10.7 Database Updates

We regularly update our tool database to add new tools, remove discontinued tools, and update existing information. However, there may be delays between market changes and our database updates.

11. Intellectual Property Rights

11.1 Service Ownership

The Service, including its software, website, content, features, functionality, designs, graphics, trademarks, logos, and all intellectual property rights therein, are owned by or licensed to Naviask AI and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

11.2 User License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes.

11.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use the Service to develop a competing product or service
  • Access the Service through automated means (bots, scripts) except as explicitly authorized
  • Frame, mirror, or scrape the Service content
  • Attempt to gain unauthorized access to the Service or related systems

11.4 Your Input Ownership

You retain all ownership rights to the business information and data you provide as Input during consultations. By submitting Input, you grant us a limited, temporary license to process it solely for the purpose of providing the Service.

11.5 Report Ownership

When you purchase a strategic report, you receive a personal, non-transferable, non-exclusive license to use the report content for your internal business purposes only. You may not:

  • Resell, redistribute, or share the report with others outside your organization
  • Use the report content to create derivative products or services
  • Publicly display or publish the report without our prior written consent

11.6 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

12. User Responsibilities and Acceptable Use

12.1 Lawful Use

You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations.

12.2 Accurate Information

You agree to provide truthful, accurate, and complete information during consultations. Providing false or misleading information may result in inaccurate recommendations.

12.3 Prohibited Uses

You may not use the Service to:

  • Engage in any illegal activities
  • Infringe upon the intellectual property rights of others
  • Transmit harmful code, viruses, or malicious software
  • Harass, abuse, threaten, or harm others
  • Impersonate any person or entity
  • Engage in fraudulent activities
  • Attempt to interfere with or disrupt the Service
  • Collect or harvest information about other users
  • Use the Service to develop competitive products or services
  • Violate the rights of any third party

12.4 Prohibited Content

You may not submit Input that:

  • Contains hate speech, discrimination, or promotes violence
  • Includes personal information of individuals without consent
  • Infringes on third-party intellectual property
  • Contains malware, viruses, or harmful code
  • Violates privacy rights or confidentiality obligations

12.5 Compliance Responsibility

You are solely responsible for ensuring that your use of the Service and any implementation of recommended AI tools complies with all laws, regulations, and industry standards applicable to your business, including but not limited to data protection, privacy, employment, consumer protection, and industry-specific regulations.

12.6 Consequences of Violations

Violation of these acceptable use provisions may result in immediate suspension or termination of your access to the Service, without refund, and we may report violations to law enforcement authorities.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

13.1 No Indirect Damages

IN NO EVENT SHALL NAVIASK AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Loss of goodwill or reputation
  • Cost of substitute services
  • Any other indirect or consequential losses

WHETHER ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SERVICE, ANY AI-GENERATED CONTENT, OR THESE TERMS, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Cap on Direct Damages

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13.3 AI Recommendation Liability

WE SHALL NOT BE LIABLE FOR:

  • Any business decisions you make based on AI-generated recommendations
  • The implementation or performance of any recommended AI tools
  • Any losses resulting from inaccuracies in AI-generated content
  • Your reliance on AI recommendations without independent verification
  • Any outcomes resulting from following or not following our recommendations

13.4 Third-Party Actions

WE ARE NOT LIABLE FOR THE ACTIONS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, BREACHES, OR NEGLIGENCE OF ANY THIRD-PARTY AI TOOL PROVIDERS OR FOR ANY PERSONAL INJURIES, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING THEREFROM.

13.5 State-Specific Limitations

Some states do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations may not apply to you, and our liability will be limited to the fullest extent permitted by applicable law.

14. Warranties and Disclaimers

14.1 AS-IS Service

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

14.2 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, NAVIASK AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES OF TITLE
  • WARRANTIES REGARDING SECURITY, RELIABILITY, TIMELINESS, OR PERFORMANCE
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT

14.3 No Guarantee of Results

WE DO NOT WARRANT OR GUARANTEE THAT:

  • The Service will meet your requirements or expectations
  • AI recommendations will be accurate, current, or applicable to your situation
  • Recommended AI tools will achieve desired results
  • The Service will generate increased revenue, reduced costs, or improved efficiency
  • Any defects or errors will be corrected
  • The Service will be compatible with all systems or configurations

14.4 No Professional Endorsement

WE DO NOT WARRANT THAT THE SERVICE, AI-GENERATED RECOMMENDATIONS, OR TOOL SUGGESTIONS HAVE BEEN REVIEWED OR APPROVED BY ANY PROFESSIONAL ADVISORS, INDUSTRY EXPERTS, OR REGULATORY AUTHORITIES.

14.5 Database Accuracy

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR CURRENTNESS OF INFORMATION IN OUR AI TOOL DATABASE.

14.6 Your Risk

YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE, RELIANCE ON AI-GENERATED RECOMMENDATIONS, AND IMPLEMENTATION OF ANY SUGGESTED AI TOOLS IS AT YOUR SOLE RISK.

15. Indemnification

15.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless Naviask AI, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of the Service
  • Your breach or alleged breach of these Terms
  • Your violation of any law, regulation, or rights of any third party
  • Any business decisions made based on AI-generated recommendations
  • Your implementation or use of any recommended AI tools
  • Any content, information, or data you submit through the Service
  • Your representations and warranties contained in these Terms

15.2 Defense

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses.

15.3 Notice

You must promptly notify us of any claims subject to indemnification, and you may not settle any claim without our prior written consent.

16. Termination

16.1 Termination by You

You may stop using the Service at any time. If you have an account, you may request deletion of your account by contacting us at help@naviask.ai.

16.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Fraudulent or abusive behavior
  • Providing false or misleading information
  • Non-payment or payment disputes
  • Behavior that harms or could harm Naviask AI, the Service, or other users
  • Required by law or regulatory authorities

16.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • You must cease all use of any reports or content obtained through the Service (unless you have properly purchased and retained such content)
  • We will delete your account and associated data in accordance with our data retention policies
  • Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: liability limitations, warranties disclaimers, indemnification obligations, and dispute resolution provisions

16.4 No Refund Upon Termination for Cause

If we terminate your access for violation of these Terms, you will not be entitled to a refund of any fees paid for reports.

16.5 Purchased Reports

Termination of your account does not affect your right to retain and use reports you have properly purchased, subject to the license terms in Section 11.5.

17. Changes to Terms

17.1 Right to Modify

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion.

17.2 Notice of Changes

When we make material changes to these Terms, we will:

  • Update the "Last Updated" date at the top of this document
  • Provide notice through the Service, via email, or by other reasonable means
  • Give you an opportunity to review the changes before they take effect

17.3 Continued Use Constitutes Acceptance

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.

17.4 Material Changes

For material changes that significantly affect your rights or obligations, we will provide at least 30 days advance notice before the changes take effect.

17.5 Historical Versions

We will maintain previous versions of these Terms for your reference. You may request copies of prior versions by contacting us.

18. Dispute Resolution and Governing Law

18.1 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions.

18.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at help@naviask.ai to attempt to resolve the dispute informally. We will make good faith efforts to resolve the matter within 60 days.

18.3 Arbitration Agreement

If the dispute cannot be resolved informally, you and Naviask AI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

18.4 Arbitration Procedures

  • The arbitration shall be conducted by a single neutral arbitrator
  • The arbitration shall take place in Connecticut or remotely via videoconference
  • Each party shall bear its own costs and attorneys' fees, unless the arbitrator awards fees to the prevailing party
  • The arbitrator's decision shall be final and binding
  • Judgment on the arbitration award may be entered in any court having jurisdiction

18.5 Exceptions to Arbitration

Either party may seek relief in small claims court for disputes within that court's jurisdiction. Additionally, either party may seek equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights.

18.6 Class Action Waiver

YOU AND NAVIASK AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

18.7 Jury Trial Waiver

18.8 Statute of Limitations

Any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after the claim or cause of action arose, or such claim or cause of action shall be forever barred.

18.9 Venue
